Terms and Conditions

These Terms and Conditions constitute a legally binding agreement between you ("the User" or "Customer") and [YOUR REGISTERED COMPANY NAME PTE. LTD.] (UEN: [YOUR COMPANY UEN NUMBER]), a company incorporated under the laws of the Republic of Singapore (hereinafter referred to as "the Company"). References to "we", "us", or "our" within this agreement shall also denote the Company.

1. All Sales Are Final & License Forfeiture

Thank you for purchasing our file copying tool (uvCopy). Because this software is a digitally delivered executable (.exe) file made available immediately upon payment validation, all sales are final and strictly non-refundable. We do not offer returns, refunds, or exchanges under any circumstances once the digital asset delivery process has initiated.

⚠️ IMPORTANT ACTIVATION WINDOW: You must redeem and activate your software license key within one (1) year (365 days) from the exact date of purchase. If a purchased license key is not redeemed within this 1-year window, the code will be permanently forfeited, voided, and disabled. You will not be entitled to any extensions, refunds, or replacements for forfeited keys from the Company.

2. Performance & Technical Dependencies

Our software optimizes and facilitates file transfers, but its operational performance relies heavily on external infrastructure variables outside our control. By purchasing, you acknowledge and agree that operational results will vary based on:

  • The speed, configuration, and stability of your network links and connectivity.
  • The specifications of your physical hardware, including your Network Interface Card (NIC) adapter.
  • Available host system capacity, including CPU usage, RAM, and drive read/write velocities.

Consequently, the Company explicitly disclaims any guarantee regarding fixed transmission speeds or uniform behavior across differing client hardware topologies.

3. Exclusion of Warranties ("As-Is")

The software is supplied to you "as-is" and "as-available," with all errors and defects without warranty of any nature. To the fullest extent permitted by Singapore law, the Company completely disclaims all warranties—express, implied, statutory, or otherwise—including all implied warranties of merchantability, satisfactory quality, fitness for a specific use, and non-infringement.

4. Absolute Limitation of Liability & Customer Duty to Test

You assume all operational risk. It is your absolute responsibility to thoroughly test the software in a secure, non-production test environment prior to deploying it for critical or large-scale file transfers. You explicitly acknowledge and agree that despite any built-in checking, verification, or validation mechanisms within the software, digital files may still become corrupted, modified, structurally altered, or lost during the reading, transmission, writing, or post-transfer handling phases (including modifications or unexpected outcomes caused by underlying system architecture, file system behavior, or third-party software encryption).

Any subsequent verification, validation, file-integrity checks (such as independent checksum verifications), or data backups are strictly and fully your responsibility. The Company does not assume any reliability or liability for file corruption, structural data loss, or unintended modifications under any circumstances.

To the maximum extent permitted by applicable Singapore law, in no event shall the Company be liable for any damages whatsoever—including but not limited to direct, indirect, incidental, special, exemplary, or consequential damages, loss of profits, data corruption, file destruction, business interruption, or system failure—arising from your use or inability to use the software.

Notwithstanding any damages or operational losses you may incur for any reason, the Company's sole and aggregate liability under these terms, and your exclusive remedy, shall be strictly capped at the exact amount you paid for the software license.

5. Contracts (Rights of Third Parties) Act

A person who is not a party to these Terms and Conditions shall have no right under the Contracts (Rights of Third Parties) Act (Cap. 53B) of Singapore to enforce any provision herein.

6. Governing Law & Jurisdiction

These terms shall be governed by, construed, and enforced in accordance with the laws of the Republic of Singapore. Any legal dispute or claim arising from these terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
